Terms of Service

These Terms of Service (the "Terms") govern your access to and use of the Parley website and the Parley mobile application (together, the "Service"). The Service is operated by Chemmo Holdings, LLC ("Chemmo Holdings," "we," "us").
By creating an account, signing in, or otherwise using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.
1. Eligibility — adults only
The Service is intended exclusively for adults eighteen (18) years of age or older. By using the Service, you represent that you are at least eighteen and that you are creating an account on your own behalf as a member of a business, team, or other organization that uses Parley for workplace communication and collaboration. You may not invite or grant Service access to anyone under eighteen.
2. Accounts
You are responsible for the security of your account credentials and for all activity that occurs under your account. You will notify us promptly at admin@chemmoholdings.com if you suspect unauthorized access. You will provide accurate information when creating an account and keep that information up to date.
3. Subscription and billing
Parley offers a permanently free tier and paid subscription tiers. Paid subscriptions purchased on the web are handled on the Parley website; on mobile, paid subscriptions are processed through the Apple App Store or Google Play in-app purchase systems. Subscriptions are sold at the workspace level: a workspace owner or admin subscribes on behalf of their workspace and other members join through invite without paying separately. Subscription terms (price, billing period, cancellation) are presented at the point of purchase. Web payments are processed by Stripe; mobile in-app purchases are processed by Apple or Google. Charges are non-refundable except where required by law or by the applicable app store's policies.
Subscriptions renew automatically at the end of each billing period unless you cancel before the renewal date. You can manage or cancel your subscription from the workspace Settings page. Cancellation takes effect at the end of the then-current period; you keep access until that date.
4. Acceptable use
You agree not to use the Service to:
- harass, threaten, or abuse another user, including by sending unwanted messages, hateful content, or content that targets a person on the basis of a protected characteristic;
- post content that is unlawful, defamatory, fraudulent, or infringes any third party's intellectual property, publicity, or privacy rights;
- post sexually explicit content, or any content sexualizing or grooming a minor; we report any such content to the National Center for Missing & Exploited Children (NCMEC) and to law enforcement;
- invite, register, or otherwise grant access to a person under eighteen, or impersonate another person;
- attempt to access another user's account, attempt to circumvent the Service's security or rate limits, or send automated traffic without our written permission;
- distribute malware, run a denial-of-service attack, or use the Service to send unsolicited bulk messages or commercial solicitations to people who have not opted in.
We may remove content, suspend accounts, or terminate access for any violation of these Terms, with or without notice.
5. Your content
You retain ownership of content you post to the Service. You grant Chemmo Holdings a worldwide, non-exclusive, royalty-free license to host, store, transmit, display, and reproduce your content solely as necessary to operate the Service for you and the other members of your group. This license ends when you delete the content or delete your account, except for residual copies we may retain in backups or that other group members have already received.
You are solely responsible for the content you post and for ensuring you have the rights to post it.
6. Copyright and DMCA
We respect intellectual property rights. If you believe content on the Service infringes your copyright, send a notice that complies with 17 U.S.C. § 512(c) to our designated agent registered with the U.S. Copyright Office. Notices must include: (i) a physical or electronic signature; (ii) identification of the copyrighted work claimed to have been infringed; (iii) the URL or location of the allegedly infringing material; (iv) your contact information; (v) a statement of good-faith belief that the use is unauthorized; and (vi) a statement, under penalty of perjury, that the information is accurate and that you are authorized to act for the rights holder.

7. Suspension and termination
You may stop using the Service and close your account at any time from Settings → Privacy & Your Data. We may suspend or terminate your access for violation of these Terms, for activity that exposes us or other users to legal or security risk, or for extended inactivity. We will refund prepaid fees for the unused portion of your subscription where required by law.
8. Disclaimers
The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that defects will be corrected. Parley is an independent product of Chemmo Holdings, LLC and is not affiliated with, endorsed by, or sponsored by Slack Technologies, Microsoft, Google, or any other communication or collaboration platform.
9. Limitation of liability
To the maximum extent permitted by law, neither Chemmo Holdings nor its officers, directors, employees, or agents will be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, or business interruption, arising out of or related to your use of the Service. Our total liability for any claim arising out of or related to the Service is limited to the greater of (a) the fees you paid us for the Service in the twelve (12) months before the event giving rise to the claim, or (b) one hundred U.S. dollars ($100).
10. Indemnification
You agree to indemnify, defend, and hold Chemmo Holdings harmless from any claim, loss, or expense (including reasonable attorneys' fees) arising out of (a) your content, (b) your violation of these Terms, or (c) your violation of any third-party right or applicable law.
11. Governing law and disputes
These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws principles. The exclusive venue for any dispute arising out of or related to these Terms or the Service is the state and federal courts located in Hillsborough County, Florida, and you consent to personal jurisdiction in those courts. This Section does not affect any non-waivable rights you may have under your local consumer-protection laws.
12. Changes to these Terms
We may update these Terms from time to time. If we make a material change, we will update the "Last updated" date at the top of this page and, where appropriate, notify you in the app or by email before the change takes effect. Your continued use of the Service after a change constitutes acceptance of the updated Terms.
